These Terms of Service ("Terms") govern your use of the Bullet Proof Intelligence website at bulletproofintelligence.com (the "Site") and any consulting services provided by Bullet Proof Intelligence ("BPI," "we," "us," or "our"). By accessing the Site or engaging our services, you agree to these Terms.
Services
Bullet Proof Intelligence provides privacy-first AI consulting and operational excellence services. Our services may include:
- AI infrastructure assessment and architecture design
- On-premise AI deployment and configuration
- Operational process assessment and optimization
- Strategic AI advisory and retainer-based consulting
- Team training and knowledge transfer
Specific services, deliverables, timelines, and pricing are defined in individual engagement agreements. The engagement agreement controls in the event of any conflict with these Terms.
Engagement Terms
- Discovery calls. Initial 30-minute consultations are free and carry no obligation to engage our services.
- Scoping and pricing. Each phase of work (assessment, architecture, deployment, training) is scoped and priced before work begins. You will receive a written proposal with defined deliverables, timeline, and cost before approving each phase.
- Payment terms. Payment terms are specified in each engagement agreement. Typical terms include upfront payment for the scoped phase or milestone-based billing.
- Cancellation. You may cancel an engagement at any time. You are responsible for payment of work completed up to the cancellation date. No cancellation penalties apply.
- Retainer engagements. Ongoing advisory retainers are month-to-month or quarter-to-quarter with no lock-in contracts. Either party may terminate with 30 days written notice.
Intellectual Property
You own everything we build. This is a core principle of our business model, not just a contractual term.
- Deliverables. All AI systems, infrastructure configurations, documentation, runbooks, architecture diagrams, and other deliverables created specifically for yan engagement are your exclusive property upon payment. We assign all rights, title, and interest in these deliverables to you.
- Open-source components. We deploy open-source models and tools (Llama, Mistral, Qwen, and others) under their respective open-source licenses. These components remain subject to their original licenses. We do not add proprietary restrictions to open-source software.
- BPI pre-existing IP. BPI retains ownership of our pre-existing methodologies, frameworks, templates, and general knowledge that are not specific to yan engagement. However, we grant you a perpetual, non-exclusive, royalty-free license to use any such pre-existing IP that is incorporated into your deliverables.
- Your data. We never receive, store, or process your operational data. Your data remains exclusively under your control at all times. This is the Zero Data Touch principle.
Confidentiality
- Your information. We will treat all non-public information you share with us as confidential. This includes business strategies, operational details, financial information, and technical specifications shared during engagements. We will not disclose your confidential information to third parties without your consent, except as required by law.
- Our information. Our methodologies, pricing structures, and internal processes are confidential. You agree not to disclose our proprietary information to third parties.
- Duration. Confidentiality obligations survive the termination of the engagement for a period of 3 years, except for trade secrets, which are protected indefinitely.
- Zero Data Touch. Because we deploy AI on your infrastructure and never access your operational data, the confidentiality risk associated with data handling is architecturally eliminated, not just contractually addressed.
Warranties and Disclaimers
We warrant that:
- Services will be performed in a professional and workmanlike manner consistent with industry standards
- Deliverables will conform to the specifications defined in the engagement agreement
- We have the right and authority to provide the services and deliverables
- Deliverables will not intentionally contain malware, viruses, or harmful code
EXCEPT AS EXPRESSLY WARRANTED ABOVE, ALL SERVICES AND DELIVERABLES ARE PROVIDED "AS IS." BPI DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
AI systems, by their nature, may produce outputs that are inaccurate, incomplete, or inappropriate. We recommend that all AI outputs be reviewed by qualified personnel before being used for decision-making. BPI does not warrant the accuracy, completeness, or suitability of AI-generated outputs.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- BPI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR ANY ENGAGEMENT SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SPECIFIC SERVICE OR DELIVERABLE GIVING RISE TO THE CLAIM.
- IN NO EVENT SHALL BPI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR REPUTATIONAL HARM, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF BPI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW AND SURVIVE THE TERMINATION OF THESE TERMS.
Client Responsibilities
For our services to be delivered successfully, you agree to:
- Provide accurate and complete information during assessments and discovery
- Provide timely access to your team, systems, and facilities as needed for on-site engagements
- Procure and maintain the infrastructure (servers, GPU hardware, network capacity) required for AI deployment as specified in the architecture design
- Designate a primary point of contact for the engagement
- Review and approve deliverables within the timelines specified in the engagement agreement
- Maintain the security and operational integrity of the deployed AI system after hand-off
Indemnification
You agree to indemnify, defend, and hold harmless BPI, its founders, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the deliverables after hand-off
- Your use of AI-generated outputs for decision-making
- Your violation of these Terms or applicable law
- Claims by third parties related to your data, content, or business operations
Website Use
You may access and use our Site for your own informational and business purposes. You may not:
- Use the Site for any unlawful purpose
- Scrape, crawl, or systematically copy content from the Site
- Use the Site to send unsolicited communications or spam
- Attempt to gain unauthorized access to our systems or networks
Content on the Site (text, graphics, logos, imagery) is owned by BPI and protected by copyright and trademark laws. You may not reproduce, distribute, or create derivative works from Site content without our prior written consent.
Third-Party Links and Services
Our Site may contain links to third-party websites or references to third-party services. These are provided for convenience only. We do not control and are not responsible for the content, privacy practices, or terms of service of third-party sites. Accessing third-party sites is at your own risk.
Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising out of or related to these Terms or any engagement shall be resolved through:
- Good faith negotiation. The parties agree to attempt to resolve disputes through direct negotiation for a period of 30 days before pursuing other remedies.
- Binding arbitration. If negotiation fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration shall take place in Wilmington, Delaware.
- Exception for injunctive relief. Either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration.
Force Majeure
BPI shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government actions, pandemics, internet outages, or failures of third-party services. We will notify you promptly of any force majeure event and use reasonable efforts to mitigate its impact.
Entire Agreement
These Terms, together with any engagement agreement, constitute the entire agreement between you and BPI regarding the subject matter and supersede all prior or contemporaneous agreements, understandings, representations, and warranties, whether oral or written.
Modification
We may modify these Terms at any time by posting the updated version on the Site. Material changes to the terms governing an active engagement require mutual written agreement. Continued use of the Site or engagement of services after the effective date of modified Terms constitutes acceptance of the changes.
Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
